NSE Shareholders resolved that the payment of a first and second special dividend of KSh 0.50 per share each, resulting in a total special dividend of KSh 1.00 per share (the first of which was paid in December 2021).
The final dividend of KSh 0.40 per ordinary share for the year ended 31st December 2021 was also approved.
It was further resolved that the closure of the Register of Members at the close of business on 3rd June 2022 for one day for the purpose of determining the qualifying members entitled to dividends be approved.
Shareholders passed these resolutions during the NSE 68th Annual General Meeting(AGM) held by electronic means on Friday, 3rd June 2022, at 11.00 a.m.
The AGM also approved and adopted the Audited Financial Statements for the year ended 2021 and Directors’ and Auditors’ Reports.
This is in addition to the Board’s Remuneration Report for 2021, with shareholders authorizing Directors to fix their remuneration.
NSE RE-ELECTS KIPRONO KITTONY AS CHAIRMAN OF THE BOARD
NSE Board Chairman Kiprono Kittony, who retired by rotation and was eligible for re-election, was re-elected as an Independent Non-Executive Director; and Ms Isis Nyong’o Madison, who retired by rotation and being eligible for re-election, was also re-elected as an Independent Non-Executive Director.
The AGM also elected John Niepold as an Independent Non-Executive Director, while Ms Risper Alaro-Mukoto; Ms Isis Nyong’o Madison, Michael Turner; and Paul Mwai were re-appointed as members of the NSE Board Audit, Risk and Compliance Committee.
Deloitte & Touche were re-appointed as auditors for the Financial Year ending 31st December 2022.
Shareholders also passed a special resolution to create a wholly-owned subsidiary of the NSE Plc to carry on the exchange business. This will be subject to regulatory approvals.
